1. Acceptance of Terms

By accessing or using the web applications provided by RexLab (including but not limited to RexInv and RexWapi), you agree to be bound by these Terms and Conditions. If you do not agree to all the terms and conditions of this agreement, you may not access or use our applications. These tools are currently provided "as-is" for experimental, developmental, and internal laboratory purposes.

2. Description of Services

RexLab provides a suite of lightweight, automated web solutions and SaaS applications designed to streamline workflows, manage inventory, and route communications. Due to the experimental nature of RexLab, features, functionality, and integrations may change, be suspended, or be discontinued at any time without prior notice.

3. User Accounts and Security

If you are provided with an administrator account or login credentials, you are responsible for maintaining the confidentiality of your password and account details. You are fully responsible for all activities that occur under your account. You agree to notify RexLab immediately of any unauthorized use of your account or any other breach of security.

4. Third-Party Services and Google Integrations

Our applications may require interaction with third-party services, specifically Google Cloud Services (such as Google Sheets and Gmail APIs). By authorizing these integrations:

  • You acknowledge that you are responsible for maintaining the security of your own Google account.
  • You agree to comply with Google's Terms of Service in addition to these Terms.
  • RexLab is not responsible for any changes to third-party APIs that may cause our applications to malfunction or lose functionality.

5. Acceptable Use

You agree to use RexLab applications only for lawful purposes. You shall not use our tools to:

  • Transmit spam, unsolicited communications, or malicious software.
  • Attempt to gain unauthorized access to our servers, databases, or infrastructure.
  • Engage in any activity that disrupts, degrades, or interferes with the performance of the applications.

6. Intellectual Property

All software, code, designs, and UI elements comprising the RexLab applications are the intellectual property of RexLab. You are granted a limited, non-exclusive, non-transferable license to use the applications. You retain all ownership rights to any personal or business data you process using our tools.

7. Disclaimer of Warranties

THE APPLICATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE." REXLAB EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the applications will be uninterrupted, timely, secure, or error-free.

8. Limitation of Liability

IN NO EVENT SHALL REXLAB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APPLICATIONS; (B) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (C) ANY SYSTEM FAILURE OR DOWNTIME.

9. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the applications after any such changes constitutes your acceptance of the new Terms.
